Terms of Service

Overview

These Terms of Service ("Terms") form a legally binding agreement between Local SEO Abu Dhabi ("we", "us", "the Agency") and you ("the Client") when you engage our local SEO services. Local SEO Abu Dhabi operates from Tower 1, Mazyad Mall, Abu Dhabi, United Arab Emirates.

By signing a service agreement, paying an invoice, or instructing us to begin work — whether verbally, in writing, or by email — you accept these Terms. If you do not agree to these Terms, you should not engage our services.

These Terms apply alongside any separate service agreement or Statement of Work (SOW) you sign with us. In the event of a conflict, the specific terms of a signed service agreement take precedence over these general Terms.

Service Description

Local SEO Abu Dhabi provides local search engine optimisation services for businesses operating in the United Arab Emirates. Our services are designed to improve the visibility of UAE-based businesses in Google Search, Google Maps, and the Google Local 3-Pack.

Services we provide include, but are not limited to:

• Google Business Profile setup, optimisation, and management
• Local keyword research and on-page SEO optimisation
• Local citation building and NAP (Name, Address, Phone) consistency auditing
• Review generation strategy and management
• Hyperlocal content creation in English and Arabic
• Local link building and digital PR for UAE businesses
• Monthly rank tracking, GBP insights reporting, and strategic recommendations
• Technical SEO audits as they relate to local search performance

The specific services included in your engagement will be defined in your service agreement or onboarding documentation. Services not explicitly included are not part of your engagement.

We reserve the right to subcontract specific tasks (for example, content translation into Arabic dialects) to trusted third parties. Where we do this, we remain fully responsible for the quality and compliance of the work delivered to you.

Client Obligations

For us to deliver effective local SEO services, we need your cooperation and timely input. The following obligations apply to all clients.

Accurate Business Information

You must provide accurate and up-to-date information about your business, including your correct registered business name, physical address, phone number, business category, and hours of operation. Inaccurate information you provide that is published as part of our local SEO work — including on your Google Business Profile or in local directories — is your responsibility. We will not be liable for consequences arising from information you provided incorrectly.

Access and Cooperation

You must provide timely access to any platforms, tools, or accounts necessary for us to deliver your services, including Google Business Profile, Google Search Console, Google Analytics, and your website's content management system where required. Delays in providing access will delay results. We are not responsible for timeline slippage caused by delayed access.

Review and Approval

Where deliverables require your approval before publication (such as written content, GBP posts, or citation information), you agree to provide timely feedback within the agreed timeframe, typically 5 business days. If we do not receive feedback within this window, we may proceed with publication as submitted or pause the deliverable until you respond.

Legal Compliance

You confirm that your business operates lawfully in the UAE and holds all licences, permits, and registrations required for your industry. You must not ask us to create content that is false, misleading, or in violation of Google's guidelines or UAE law. We reserve the right to refuse or remove any content that we believe may be unlawful or in breach of platform policies.

Payment Terms

Fees and Currency

All fees for our services are quoted and invoiced in UAE Dirhams (AED) unless explicitly agreed otherwise in writing. Fees are specified in your service agreement or quote. We reserve the right to adjust our pricing with 30 days' written notice for ongoing month-to-month engagements.

Monthly Billing

We operate on a month-to-month billing model for ongoing local SEO retainers. Invoices are issued at the beginning of each calendar month and are due within 7 calendar days of the invoice date. Work for the month commences upon receipt of payment or confirmation of payment arrangement.

One-Time Projects

For one-time projects (such as a local SEO audit, website optimisation, or GBP setup), we typically require a 50% deposit before work commences, with the remaining 50% due upon project completion and delivery. Project-specific payment terms will be defined in your project agreement.

Late Payments

If payment is not received within 14 calendar days of the invoice date, we reserve the right to pause all active work on your account until payment is received. We also reserve the right to charge a late payment fee of 2% of the outstanding invoice amount per month after the 14-day window, in accordance with UAE commercial practices. We will always notify you before applying any late payment charges.

Refunds

Given the nature of service-based work, payments for services already rendered are generally non-refundable. If you have a concern about the quality of delivered work, please contact us within 14 days of delivery and we will work to resolve the issue to your satisfaction. Refunds for work not yet started will be issued in full.

Results Disclaimer

Search engine rankings are determined by Google's algorithms, which are complex, frequently updated, and outside our control. While our strategies are built on established best practices and our team's deep knowledge of the UAE local search market, ranking outcomes depend on many factors beyond our control, including:

• Your competitive landscape in Abu Dhabi and the UAE — how many competitors are targeting the same terms
• The age and existing authority of your Google Business Profile and website
• Google algorithm updates, which may positively or negatively affect rankings
• Changes to Google Maps ranking signals
• Your physical location relative to the searcher
• The volume and quality of reviews your business accumulates over time
• Actions taken by your competitors in the same period

We will always give you an honest assessment of what is achievable in your market before you commit to any service. We set realistic expectations, track meaningful metrics (calls, direction requests, website clicks from GBP), and provide transparent monthly reports on progress.

Our commitment is to apply best-practice local SEO strategies consistently and report honestly on results. We will tell you when something is not working and adapt our approach accordingly.

Intellectual Property

Content We Create For You

Upon receipt of full payment, intellectual property rights in original content created specifically for you — such as blog posts, GBP descriptions, location pages, and Arabic-language translations — transfer to you as the client. You are free to use, modify, and republish this content on your own platforms.

Our Methodologies and Tools

Our processes, frameworks, reporting templates, proprietary tools, internal methodologies, and agency know-how remain our intellectual property at all times. Engaging our services does not grant you any licence to our internal processes or tools.

Third-Party Materials

Where we incorporate third-party licensed materials (such as stock photography or licensed data sources) into deliverables, we will ensure appropriate licences are in place for your use case. We will notify you of any material with usage restrictions.

Confidentiality

Both parties agree to keep confidential any non-public information shared during the course of the engagement. This includes your business strategies, competitive intelligence, customer data, financial information, and any other information that a reasonable person would consider confidential.

We will not disclose your confidential information to third parties without your written consent, except where required by law, court order, or regulatory authority in the UAE.

We may share general, anonymised case study information (for example, "an Abu Dhabi restaurant client saw a 40% increase in GBP calls") for marketing purposes without identifying you specifically. If you prefer not to be referenced even anonymously, please inform us in writing.

These confidentiality obligations survive the termination of our engagement for a period of 3 years.

Termination

Termination by Either Party

Either party may terminate an ongoing month-to-month service engagement by providing 30 days' written notice to the other party. Notice must be given in writing, by email to the primary contact address on record. Verbal notice of termination is not accepted.

During the 30-day notice period, both parties continue to fulfil their obligations — we continue delivering services and you continue to pay for them. There are no early termination fees for month-to-month engagements provided 30 days' notice is given.

Immediate Termination

Either party may terminate the engagement immediately (without 30 days' notice) in the following circumstances:

• The other party materially breaches these Terms and fails to remedy the breach within 14 days of written notice
• The other party becomes insolvent or enters insolvency proceedings
• The client asks us to engage in practices that violate Google's policies, UAE law, or our ethical standards
• The client's outstanding invoices remain unpaid for more than 30 days despite notice

After Termination

Upon termination, we will provide you with a handover document containing login credentials, access details, and a summary of work completed. We will not reverse or undo optimisations made during the engagement. All outstanding invoices for work completed up to the termination date remain payable.

Limitation of Liability

To the fullest extent permitted by UAE law, Local SEO Abu Dhabi's total liability to you in connection with any claim arising from or related to our services shall not exceed the total fees paid by you to us in the 3 months preceding the event giving rise to the claim.

We are not liable for any indirect, consequential, or incidental losses including loss of profit, loss of business, loss of data, or reputational damage arising from our services or from changes to Google's algorithms or policies that affect your rankings.

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded under UAE law.

Governing Law and Jurisdiction

These Terms of Service are governed by and construed in accordance with the laws of the United Arab Emirates. Any dispute arising from or in connection with these Terms, including any dispute as to the validity or interpretation of these Terms, shall be subject to the exclusive jurisdiction of the courts of Abu Dhabi, United Arab Emirates.

Before initiating any formal dispute resolution proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation. If a dispute cannot be resolved through negotiation within 30 days of written notice from one party to the other, either party may then proceed with formal dispute resolution.

The Arabic and English versions of these Terms are both valid. In the event of any discrepancy between the Arabic and English versions, the English version shall prevail.
